Share Capital
As of 22 December 2008, the Company had an authorised share capital of £100,000,000 divided into 10,000,000,000 Ordinary Shares of £0.01 each.
As of 30 January 2009, the Company had an issued share capital of 48,442,000 Ordinary Shares of £0.01 each.

Shares Not In Public Hands
In terms of AIM rules February 2007, and so far as the company is aware, at 30 January 2009, 17.66% of the company securities were not held in public hands.
Restrictions on Transfers of Shares
In accordance with Rule 7 of the AIM Rules each of the Directors, certain Shareholders and applicable employees have agreed, subject to certain limited exceptions (as permitted by the AIM Rules) , not to dispose of any of their interests in Ordinary Shares for a period of twelve months from Admission. In addition, for a period of 12 months following the first anniversary of Admission, they will only dispose of any interest in Ordinary Shares held by them through the Company's brokers in a manner which maintains an orderly market in the Ordinary Shares.
Apart from the above, there are no restrictions on the transfer of shares in the Company.
Shares Traded On Other Exchanges
Otium Ventures shares are only listed on the AIM market in the UK.
CREST
CREST is a paperless settlement enabling securities to be evidenced otherwise than by certificate and transferred otherwise than by written instrument in accordance with the CREST Regulations. The Articles of Association permit the Company's shares to be evidenced in un-certificated form in accordance with the Regulations.
